These Terms of Service ("Terms") govern your access to and use of the Split a Cookie Inc. ("SaC," "we," "us," or "our") website, informational materials, and any platform services made available to you under a separate order, pilot agreement, or enterprise license ("Services"). By accessing our site or Services, you agree to these Terms.

1. Eligibility and accounts

You must have authority to bind your organization if you register or request access on its behalf. You are responsible for safeguarding account credentials and for activity under your account. Notify us promptly of any unauthorized use.

2. Informational website

Content on this website describes SaC frameworks, methodologies, and conceptual product offerings for institutional evaluation. Descriptions, roadmaps, revenue models, and forward-looking statements are informational and subject to change. Nothing on this site constitutes a binding offer until executed in a written agreement.

3. Acceptable use

You agree not to:

  • Use the Services unlawfully or in violation of applicable school, district, or corporate policies;
  • Attempt to gain unauthorized access to systems, data, or accounts;
  • Reverse engineer, scrape, or extract source materials except as permitted by law or contract;
  • Upload malware or interfere with Service integrity or availability;
  • Misrepresent affiliation with SaC or misuse SaC trademarks or curriculum assets.

4. Intellectual property

SaC retains all rights in the Split a Cookie structural framework, curriculum assets, software, branding, and documentation. Licensed districts and partners receive only the rights expressly granted in their agreement. Unauthorized reproduction or distribution of Pluggable Curriculum Assets, Navigator's Guides, or proprietary methodologies is prohibited.

5. Confidentiality

Certain materials shared during evaluations, pilots, or advisory engagements may be marked confidential. You agree not to disclose such materials except to personnel with a need to know and subject to equivalent confidentiality obligations.

6. Third-party services

The Services may integrate with third-party tools (e.g., authentication, analytics, news feeds). Your use of those tools may be subject to separate terms. SaC is not responsible for third-party services outside our reasonable control.

7. Disclaimers

THE SERVICES AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SAC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND ADVISORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SAC FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF NO FEES WERE PAID.

9. Indemnification

You agree to indemnify and hold harmless SaC from claims arising out of your misuse of the Services, violation of these Terms, or infringement of third-party rights, except to the extent caused by SaC's gross negligence or willful misconduct.

10. Termination

We may suspend or terminate access for violation of these Terms or for security reasons. Upon termination, provisions that by nature should survive (including intellectual property, disclaimers, and limitations of liability) will remain in effect.

11. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where mandatory consumer or education privacy laws apply. Exclusive jurisdiction for disputes shall lie in the state or federal courts located in Delaware, unless otherwise required by applicable law.

12. Changes

We may modify these Terms by posting an updated version on this page. Continued use after changes become effective constitutes acceptance of the revised Terms.
